edicell.com is owned and operated by edicell, a DBA of IMR Electronics LLC. The terms "we," "us," and "our" refer to edicell. These terms may be updated at any time without notice. Continued use of the Services constitutes acceptance of the current Terms.
By visiting, interacting with, or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use or access our Services.
SECTION 1 — ACCESS
By agreeing to these Terms, you represent that you are at least the age of majority in your state or province of residence. You are solely responsible for maintaining the security of your account credentials and all account activity.
SECTION 2 — LITHIUM-ION BATTERY WARNING
READ THIS SECTION CAREFULLY. FAILURE TO FOLLOW PROPER HANDLING PROCEDURES CAN RESULT IN FIRE, EXPLOSION, THERMAL RUNAWAY, SERIOUS PERSONAL INJURY, PERMANENT DISABILITY, PROPERTY DAMAGE, OR DEATH.
By purchasing any edicell product, you acknowledge and agree that:
- Lithium-ion batteries are potentially dangerous if misused, improperly charged, stored, or damaged.
- Thermal runaway — a condition in which a battery cell enters an uncontrollable self-heating state — can result in fire, explosion, and the release of toxic gases.
- You have read and understood all safety documentation available at edicell.com/pages/docs prior to use.
- You will use only a compatible lithium-ion battery charger rated for the specific voltage and chemistry of your pack.
- You will never charge, store, or use a damaged, swollen, or physically compromised pack.
- You will never leave a lithium-ion battery charging unattended.
- You will store packs at 40–60% state of charge in a cool, dry, non-flammable container away from combustible materials.
- You will never over-discharge, short circuit, puncture, crush, expose to extreme heat, or modify any edicell pack.
- You will keep all lithium-ion batteries away from children.
- You will dispose of batteries properly in accordance with local regulations and never place them in regular trash.
- You assume all risk associated with the purchase, possession, use, storage, charging, transport, and disposal of edicell products.
edicell is not responsible for any fire, explosion, thermal runaway event, personal injury, property damage, or death resulting from the use, misuse, improper handling, improper charging, improper storage, or failure of any edicell product.
SECTION 3 — NO WARRANTY / DISCLAIMER OF WARRANTIES
edicell provides no warranty of any kind, express or implied, for any products it sells.
ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY REPRESENTATION, WARRANTY, OR CONDITION OF ANY KIND, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT.
You assume all risks for any products purchased from edicell. edicell, its owners, employees, and affiliates are not liable for any injury, property damage, loss, or death resulting from the use, misuse, or failure of any edicell product.
SECTION 4 — DOA POLICY
All sales are final. edicell does not accept returns or exchanges.
If a pack arrives visibly damaged in transit or is inoperable out of the box due to a manufacturing defect ("DOA"), contact us within 7 days of delivery at support@edicell.com with photographic or video evidence. edicell will review the claim and may, at its sole discretion, replace confirmed DOA units.
This policy does not cover damage resulting from crashes, improper charging, over-discharge, modification, water damage, thermal events caused by misuse, or any use of the product after delivery.
Once a pack has been used, all sales are final with no exceptions.
SECTION 5 — LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO CASE SHALL EDICELL, IMR ELECTRONICS LLC, ITS OWNERS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INJURY, LOSS, CLAIM, DEATH, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST REVENUE, LOSS OF DATA, REPLACEMENT COSTS, PROPERTY DAMAGE, OR PERSONAL INJURY, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, ARISING FROM YOUR USE OR MISUSE OF ANY EDICELL PRODUCT OR SERVICE.
OUR MAXIMUM LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO YOUR PURCHASE SHALL NOT EXCEED THE PURCHASE PRICE OF THE SPECIFIC PRODUCT AT ISSUE.
SECTION 6 — INDEMNIFICATION
You agree to indemnify, defend, and hold harmless edicell, IMR Electronics LLC, its owners, officers, directors, employees, agents, affiliates, and service providers from and against any and all losses, damages, liabilities, claims, and expenses, including reasonable attorneys' fees, arising out of or related to:
- Your purchase, possession, use, misuse, storage, charging, transport, or disposal of any edicell product
- Your breach of these Terms
- Your violation of any applicable law or regulation
- Any injury, property damage, fire, explosion, thermal event, or death caused by or related to any edicell product in your possession or use
- Any third-party claims arising from your use of edicell products
This indemnification obligation survives termination of these Terms and your use of the Services.
SECTION 7 — DISPUTE RESOLUTION / BINDING ARBITRATION
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Any dispute, claim, or controversy arising out of or relating to these Terms, your purchase of any edicell product, or the use or failure of any edicell product shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court.
Arbitration shall take place in Harris County, Texas. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
You waive your right to a jury trial and your right to participate in a class action lawsuit or class-wide arbitration.
Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction where necessary to prevent irreparable harm.
SECTION 8 — GOVERNING LAW
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Venue for any proceeding not subject to arbitration shall be in Harris County, Texas.
SECTION 9 — ORDERS AND PRICING
Prices are subject to change without notice. The price charged will be the price in effect at time of order. edicell reserves the right to accept or decline any order at its sole discretion. Orders are not accepted until confirmed. Please review your order carefully — cancellations may not be accommodated after an order is accepted.
SECTION 10 — SHIPPING
Lithium-ion batteries are classified as dangerous goods and ship via ground transportation only in compliance with DOT regulations. No air shipping is available. edicell ships within the continental United States and Canada only. Risk of loss passes to you upon transfer to the carrier.
SECTION 11 — PRODUCT INFORMATION
While every effort is made to publish accurate specifications, edicell is not liable for any issues resulting from incorrect product details. Specifications are subject to change without notice. For confirmation of specifications contact support@edicell.com.
SECTION 12 — INTELLECTUAL PROPERTY
All content on edicell.com including trademarks, brand names, text, images, and designs are owned by edicell or its licensors. You may not reproduce, distribute, or create derivative works without prior written consent.
SECTION 13 — SEVERABILITY
If any provision of these Terms is found unlawful or unenforceable, that provision shall be enforced to the maximum extent permitted by law and the remaining provisions shall remain in full force and effect.
SECTION 14 — ENTIRE AGREEMENT
These Terms constitute the entire agreement between you and edicell regarding your use of the Services and supersede all prior agreements.
SECTION 15 — CHANGES TO TERMS
We reserve the right to update these Terms at any time. Changes are effective upon posting. Continued use of the Services constitutes acceptance of updated Terms.
